====   Purchase Agreement  ====

====  Definitions  ====

This "PRODUCT" includes all files within with the distribution archive as well as all files produced as a result. The "PRODUCT" also includes the Big Lick Media logo and the "look and feel" of any page produced via Big Lick Media or included within this Big

Lick Media created package. The provisions of this License Agreement applying to the "PRODUCT" also apply to all derivative works of the "PRODUCT."

The "PURCHASER" is the individual who purchases, downloads or receives this PRODUCT unless the individual designates another to be the "PURCHASER" prior to initiating discussion topics within an implementation of this PRODUCT.

"Big Lick Media" is Big Lick Media, of Roanoke, Virginia, which is the sole owner of the copyright and all other rights in and to this PRODUCT.

"LICENSE FEES" is the purchase (monies paid) from the PURCHASER to Big Lick Media for the right to invoke this License Agreement for a specific implementation of this PRODUCT.

====  Application of License  ====

By purchasing, downloading or receiving this PRODUCT, or by installing this PRODUCT onto any machine, or by using this PRODUCT or any portion of this PRODUCT in any way, the PURCHASER agrees to be bound by the terms of this License Agreement.

The PURCHASER is responsible for ensuring that the terms of the License Agreement are upheld and the PURCHASER is responsible for any violations of the License Agreement whether or not the PURCHASER authorized the infringements of the License Agreement.

====  Permitted Uses  ====

Provided that any required LICENSE FEES have been paid, this License Agreement allows the PURCHASER to download this PRODUCT for the purpose of installing this PRODUCT on the PURCHASER'S site or for the purpose of examining the source code of this

PRODUCT to evaluate its future use on the PURCHASER'S site. The PURCHASER may install this PRODUCT one time onto a single WWW server. The PURCHASER may also retain one copy of the distribution of this PRODUCT for archival purposes provided that this

archive is not redistributed or resold in any way.

====  Prohibited Uses  ====

The PURCHASER agrees not to do any of the following unless previously authorized in writing by Big Lick Media, as doing the following would violate this License Agreement and be grounds for the termination of this License Agreement and possible legal

action as described in this License Agreement.

. Making available for download or otherwise copying or redistributing this PRODUCT

. Selling, renting, or leasing this PRODUCT to any individual or organization

. Including on any distribution medium (such as a CD-ROM or bundled within a software package) this PRODUCT

. Installing this PRODUCT on more than one WWW server or implementing this PRODUCT more than one time on a WWW server, without a sufficient number of Licenses to do so

. Using any portion of this PRODUCT in any other application or redistributing this PRODUCT under the same or another name

====  Copyright Notices and Program Credits  ====

Copyright notices included within the PHP, JS or HTM(L) scripts and and all related source files within this PRODUCT may never be modified, appended, or removed without the prior expressed written consent of Big Lick Media, regardless of whether the

PURCHASER has paid any LICENSE FEES for the implementation of this PRODUCT.

The PURCHASER is not permitted to modify, append, or remove any copyright notices or program credits appearing within the visual interface of this PRODUCT. This includes, but is not limited to, copyright notices on documentation pages and the "Program

Credits" page. Removing links to such copyright notices and program credits is similarly prohibited. Big Lick Media reserves the right to publish conditions under which copyright notices or program credits can be removed from the visual interface and to

specify the extent of the removal of the same.

The Big Lick Media logo and the "Powered by Big Lick Media" logo in our products are not considered to be copyright notices or program credits and may be removed or modified at the discretion of the PURCHASER ONLY UPON purchase of our Branding

Removal License located at http://www.biglickmedia.com/products/branding_removal.php

====  Multiple Installations  ====

Each distinct implementation of this PRODUCT requires that a separate Purchase be made.

====  Modifications or Additions  ====

Any modifications or additions to this PRODUCT are subject to the following provisions:

1. The PURCHASER may modify in any way desired this PRODUCT for the PURCHASER'S own use, except that any copyright headers and credits cannot be removed except as otherwise provided in this License Agreement.  Likewise, the Big Lick Media logo and the

"Powered by Big Lick Media" logo in our products may not be removed or modified at the discretion of the PURCHASER until a purchase of our Branding Removal License, located at http://www.biglickmedia.com/products/branding_removal.php, is complete.

2. Any modifications containing portions of this PRODUCT or causing any portion of this PRODUCT to be executed, evaluated, or otherwise used in any way, are considered derivative works of this PRODUCT. Hence, these modifications are subject to all terms

of this License Agreement, and consequently cannot be redistributed or sold. Thus, no person, organization, or entity shall distribute any modification or addition to this PRODUCT that uses any portion of this PRODUCT in any way.

3. By making any modification or by otherwise installing any third-party modifications to this PRODUCT, the PURCHASER voids the limited warranty and any obligation of support on behalf of Big Lick Media, whether express or implied. Big Lick Media

specifically disclaims all warranties, express or implied, if any portion of this PRODUCT has been modified except as documented in this PRODUCT'S accompanying documentation.

4. Big Lick Media makes no guarantee that the underlying code or data structure will be maintained in future upgrades to this PRODUCT. The PURCHASER agrees that Big Lick Media retains the absolute right to modify future versions of this PRODUCT as Big Lick

Media sees fit, whether or not such modifications are compatible with any modifications made by the PURCHASER. Big Lick Media retains this right in all circumstances, even if the PURCHASER has the right under arrangements with Big Lick Media to download

and install future upgrades of this PRODUCT. Big Lick Media is under no obligation whatsoever to modify this PRODUCT or to instruct the PURCHASER or anyone else how to modify this PRODUCT.

====  Limited Warranty  ====

This is the only warranty of any kind guaranteed by Big Lick Media. Except for this limited warranty, this PRODUCT is provided on an "as is" basis, and the PURCHASER accepts this PRODUCT "with all faults." Should this PRODUCT prove defective, the

PURCHASER and not Big Lick Media assumes the entire cost of service and repair. In addition, the security mechanisms implemented in PRODUCT have inherent limitations, and Big Lick Media does not warrant that this PRODUCT will withstand all attacks. To

the maximum extent permitted by applicable law, Big Lick Media disclaims all other warranties, either express or implied. Particularly, Big Lick Media makes no warranty of title, no warranty against infringement, no warranty of merchantability, and no

warranty of fitness for a particular purpose. This warranty gives you specific legal rights, and you may have other legal rights that vary by jurisdiction.

====  Site Content  ====

The PURCHASER alone, not Big Lick Media, bears the entire responsibility for the content of any internet site, even if the PURCHASER is using this PRODUCT as part of that internet site. In no way shall Big Lick Media be liable or responsible for the content of

any PURCHASER'S site, including but not limited to any data created by users of this PRODUCT.

====  Title and Copyright  ====

====  Consequences of License Violations  ====

Should the PURCHASER use unlicensed copies of this PRODUCT without the expressed written consent of Big Lick Media, the PURCHASER is in violation of this License Agreement. If the PURCHASER was using any portions of this PRODUCT which ordinarily

require the payment of LICENSE FEES, the PURCHASER agrees to pay to Big Lick Media the LICENSE FEES necessary to license the unlicensed implementation according to the schedule of LICENSE FEES available at the time from the Big Lick Media web site.

Additionally, Big Lick Media may require that the PURCHASER immediately and entirely remove any implementation of this PRODUCT that is in breach of this License Agreement. In addition, the PURCHASER shall be liable for the payment to Big Lick Media of

attorney's fees, court costs, punitive damages, and any other legal remedy appropriate for the situation.

Should the PURCHASER distribute, sell, or otherwise make available any portion of this PRODUCT or any modification which is determined to be this PRODUCT according to any other sections of this License Agreement, the PURCHASER shall be liable for the

payment to Big Lick Media of the equivalent cost of LICENSE FEES for this PRODUCT or for all monies collected by the PURCHASER in violation of this License Agreement, whichever is more. In addition, the PURCHASER shall be liable for the payment to Big Lick

Media of attorney's fees, court costs, punitive damages, and any other legal remedy appropriate for the situation.

====  Jurisdiction  ====

This License Agreement is governed by the laws of the State of Virginia. Both the PURCHASER and Big Lick Media submit to the jurisdiction of the courts of the State of Virginia.
